These Terms of Service ("Terms") govern your access to and use of the services, website, Client Portal, and Social Studio provided by Velocity Tech Solutions ("Velocity," "we," "us," or "our"), accessible at velocity-tech.com (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Services immediately.
You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

You are responsible for all activity that occurs under your account. Velocity is not liable for any loss or damage arising from unauthorized use of your credentials.
The Client Portal provides a secure environment for Velocity and its clients to share project-related information, documents, communications, reports, and deliverables related to services performed under a separate service agreement.
The Social Studio enables clients to create, schedule, publish, and track social media content across connected third-party platforms (including Facebook, Instagram, and other supported networks). Use of the Social Studio requires that you connect your social media accounts and authorize Velocity to access those accounts on your behalf.
Our website provides information about Velocity's service offerings, including web infrastructure, AI-enhanced SEO, creative production, analytics, marketing, sales enablement, app development, and technical support under The Nest Agency Model.
You agree not to use the Services to:
All content, design, code, graphics, trademarks, logos, and other materials comprising the Services are the property of Velocity Tech Solutions or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent.
You retain ownership of all content you upload, create, or submit through the Services ("Your Content"). By using the Services, you grant Velocity a limited, non-exclusive license to use, store, and process Your Content solely for the purpose of providing the Services to you. This license terminates when you delete Your Content or close your account, except where retention is required for legal or operational purposes as described in our Privacy Policy.
Ownership and licensing of deliverables produced by Velocity on your behalf (e.g., designs, websites, applications, marketing materials) are governed by the terms of your separate service agreement with Velocity, not these Terms.
The Social Studio integrates with third-party platforms including Facebook, Instagram, and other social media networks. Your use of these platforms is subject to their own terms of service and privacy policies, which Velocity does not control. You are responsible for complying with the terms of any connected platform.
Velocity is not responsible for any changes, outages, restrictions, or actions taken by third-party platforms that may affect the availability or functionality of the Social Studio.
Access to certain Services may require payment under a separate service agreement. Payment terms, fees, billing cycles, and refund policies are governed by your individual service agreement with Velocity. Failure to pay may result in suspension or termination of access to the Services.
Either party may terminate access to the Services at any time:
Upon termination, your right to access the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
Velocity does not warrant that the Services will be error-free, secure, or available at all times. We do not guarantee the accuracy or completeness of any analytics, engagement metrics, or reporting data provided through the Social Studio.
To the maximum extent permitted by law, Velocity Tech Solutions, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, arising out of or in connection with your use of the Services.
In no event shall Velocity's total aggregate liability exceed the amount you have paid to Velocity in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Velocity Tech Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit, post, or transmit through the Services.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If the parties are unable to reach a resolution, disputes shall be submitted to binding arbitration in San Luis Obispo County, California, in accordance with the rules of the American Arbitration Association.
Velocity reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Material changes will be communicated through reasonable means, such as email notification or a prominent notice within the Services. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and Velocity Tech Solutions regarding your use of the Services.
